Proposed revisions to guidelines in the revised corporate governance (CG) code include extending the role of a Board to include considering "sustainability issues, e.g. environmental and social factors, as part of its strategic formulation". Revisions also focus on issues including risk management and the rights and role of a shareholder. And the Council has proposed introducing a separate statement to enhance the role of shareholders in engaging with the companies in which they invest. The draft statement says that "active and constructive shareholder relations is crucial" to ensure that listed companies and their boards achieve high CG standards, and can help improve long-term returns.
